Terms of Service

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern access to and use of the services provided by NorthWave Stream Studio, a stream-studio business located at 125 King Street West, Suite 1800, Toronto, ON M5H 1J9, Canada (“NorthWave Stream Studio,” “we,” “us,” or “our”).

By booking, accessing, purchasing, or using any of our services, including live stream production, multi-camera studio recording, podcast filming and audio capture, virtual event hosting support, green screen setup and editing, and lighting and sound engineering (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, you must not use the Services.

These Terms apply to all clients, guests, participants, presenters, speakers, attendees, and any other persons who access or use our Services or facilities in connection with a booking.

2. Scope of Services

NorthWave Stream Studio provides professional production and studio support services, which may include, without limitation:

Unless expressly stated in a written agreement or statement of work, we do not guarantee any specific audience size, engagement level, technical outcome, commercial success, or platform performance.

We may subcontract or engage third-party vendors, technicians, platforms, or service providers to assist in delivering the Services, provided that we remain responsible for our own obligations under these Terms, subject to applicable law.

3. User Obligations and Responsibilities

You are solely responsible for the legality, accuracy, and appropriateness of any content you supply or direct us to use. We may refuse, suspend, or terminate Services if we reasonably believe that any requested content or activity is unlawful, defamatory, obscene, infringing, harmful, or otherwise inappropriate.

You acknowledge that live production and streaming may involve inherent technical risks, including audio dropouts, latency, platform outages, internet interruptions, lighting variance, and equipment failure. You agree that you are responsible for maintaining backups and contingency plans appropriate to your project.

4. Payment Terms and Conditions

Fees for the Services will be set out in a quote, invoice, booking confirmation, or written agreement. Unless otherwise stated:

Unless otherwise agreed in writing, quoted prices are based on the scope, duration, staffing, equipment, and production requirements described at the time of quotation. Any changes to scope, extended hours, additional revisions, overtime, special equipment, venue fees, travel, or third-party costs may result in additional charges.

You authorize us to charge any payment method provided by you for amounts due under these Terms, subject to applicable law and any separate payment authorization you provide.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests must be made in writing. The following policy applies unless a different cancellation policy is set out in a signed agreement:

Refunds are generally not provided for completed Services, delivered digital files, or work already performed, except where required by applicable law or expressly agreed in writing.

If we must cancel due to equipment failure, staff unavailability, safety concerns, or other reasons within our control, we will use commercially reasonable efforts to reschedule the Services or provide a refund for the unused portion of fees paid, as determined in good faith.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, NorthWave Stream Studio shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of business opportunity, loss of data, reputational harm, or interruption of business, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total amount actually paid by you to NorthWave Stream Studio for the specific Service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $1,000, whichever is greater, unless a higher amount is required by law.

7. Intellectual Property Rights

As between you and NorthWave Stream Studio, each party retains ownership of its pre-existing intellectual property.

Unless otherwise agreed in writing, we may use non-confidential excerpts, stills, or behind-the-scenes images of completed productions for portfolio, promotional, and marketing purposes, provided such use does not disclose confidential information or violate any applicable privacy rights or consents.

You represent and warrant that your materials do not infringe the intellectual property rights of any third party and that you have all necessary rights to authorize our use of such materials for the Services.

8. Data Protection and Privacy

NorthWave Stream Studio collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.

We may collect personal information such as names, contact details, billing information, production preferences, recordings, images, audio, and other information necessary to provide the Services, manage bookings, communicate with you, process payments, and comply with legal obligations.

By using the Services, you acknowledge that recordings may capture personal information, likenesses, voices, and other identifying features of participants. You are responsible for obtaining any necessary consents from individuals appearing in or contributing to your production, unless we have expressly agreed in writing to obtain such consents on your behalf.

We take reasonable administrative, technical, and physical safeguards to protect personal information, but no system is completely secure. To the extent permitted by law, we are not liable for unauthorized access, disclosure, or loss of information caused by circumstances beyond our reasonable control.

9. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, epidemic, pandemic, labour disputes, power outages, internet or telecommunications failures, equipment shortages, government orders, civil unrest, war, terrorism, or failure of third-party suppliers or platforms.

If a force majeure event occurs, we may suspend, reschedule, or modify the Services as reasonably necessary. We will use commercially reasonable efforts to minimize disruption and resume performance as soon as practicable.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our business, legal requirements, or operational practices. The updated Terms will be effective upon posting or upon notice to you, as applicable.

Your continued use of the Services after the effective date of any updated Terms constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and, where applicable, cancel any future bookings in accordance with these Terms.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the Services, or any booking shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any legal proceeding arising from or relating to these Terms or the Services, subject to any mandatory consumer protection rights or other non-waivable rights under applicable law.

13. Severability Clause

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

If any invalid or unenforceable provision can be modified to make it valid and enforceable while preserving its intent, the provision shall be interpreted and enforced to the maximum extent permitted by law.

Entire Agreement: These Terms, together with any applicable quote, invoice, booking confirmation, statement of work, or written agreement, constitute the entire agreement between you and NorthWave Stream Studio regarding the Services and supersede prior or contemporaneous understandings on the same subject matter, except where prohibited by law.
